Terms of Service

1. Introduction
Welcome to OneIBP. These Terms of Service ("Terms") govern access to and use of the OneIBP website, mobile application, and related services (collectively, the "Service").
OneIBP is an independent digital platform designed to help IBP chapters manage administrative, member service, event, certificate, communications, legal-aid-related, and reportorial workflows.
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a chapter, office, or organization, you represent that you are authorized to bind that entity to these Terms.
If you do not agree to these Terms, do not access or use the Service.
2. Service Model and Important Positioning
OneIBP is a chapter-contracted, member-access-enabled platform.
This means that:
- the Service is primarily made available to a subscribing chapter, office, or organization under a service arrangement;
- authorized chapter administrators, officers, staff, and personnel may use the Service in connection with chapter operations;
- members may be given access to the Service only through a participating chapter and subject to that chapter's implementation of the Service.
Unless expressly stated otherwise in writing, OneIBP is not:
- an official platform of the Integrated Bar of the Philippines;
- an official platform of the Supreme Court of the Philippines;
- a replacement for official government, court, or IBP systems;
- a guarantee of legal, regulatory, policy, or compliance outcomes.
Any official requirement, filing, submission, accreditation, compliance determination, or legal effect remains subject to the rules, systems, and directives of the appropriate authority.
3. Eligibility and Accounts
You may use the Service only if you have the legal capacity to enter into these Terms and are authorized to use the Service for yourself or on behalf of your chapter, office, or organization.
Depending on the chapter's implementation, the Service may be accessed by:
- subscribing chapters and their authorized representatives;
- chapter administrators, officers, staff, and authorized personnel;
- members granted access through a participating chapter.
You agree to:
- provide accurate, current, and complete account information;
- keep your login credentials secure and confidential;
- promptly update your information when it changes;
- be responsible for activities that occur under your account.
We may suspend or terminate accounts that contain false information, are used without authorization, or are used in violation of these Terms.
4. Role of the Subscribing Chapter
Where the Service is provided to a chapter, office, or organization, that subscribing entity is responsible for:
- designating and authorizing administrators, officers, staff, and users;
- assigning appropriate roles and permissions;
- determining which members, if any, are granted access to the Service;
- ensuring that personal data and records uploaded to or managed through the Service are handled with appropriate authority and lawful basis;
- reviewing and validating the accuracy of chapter records, reports, certificates, submissions, and outputs generated through the Service;
- ensuring that its use of the Service complies with applicable laws, regulations, and internal policies.
5. Description of the Service
The Service may include features for:
- member and profile records;
- dues, billing, payments, receipts, and related transaction history;
- event registration, attendance, and certificates;
- chapter notices, announcements, and communications;
- legal-aid- or ULAS-related internal tracking and documentation;
- administrative workflows, dashboards, exports, and reports;
- integrations with third-party providers and tools.
Features may change from time to time. We may add, modify, suspend, or discontinue any feature at our discretion.
6. Acceptable Use
You agree not to:
- use the Service for unlawful, fraudulent, misleading, or abusive purposes;
- impersonate any person or entity, or misrepresent your affiliation or authority;
- upload, encode, submit, or process data that you are not authorized to use or disclose;
- interfere with, disrupt, or compromise the Service or its security;
- attempt to access data, accounts, or systems without authorization;
- use the Service to distribute malware, spam, or harmful content;
- reverse engineer, scrape, copy, or exploit the Service except as allowed by law or with our written consent.
7. User Content and Responsibility for Data
You retain responsibility for the data, documents, content, and records you upload, input, create, or manage through the Service ("User Content"). You represent and warrant that:
- you have the necessary rights, authority, and lawful basis to provide and process such User Content;
- the User Content does not violate applicable law, confidentiality obligations, or the rights of others;
- the User Content is accurate to the best of your knowledge.
Where a chapter uses the Service to manage member or related records, the chapter remains responsible for ensuring that it has the authority and lawful basis to manage such records through the platform.
We do not guarantee the legal sufficiency, official validity, or correctness of User Content, chapter records, certificates, reports, or any user-entered information.
8. Privacy and Data Processing
Your use of the Service is subject to our Privacy Policy. By using the Service, you acknowledge that personal data may be collected, received, stored, used, and otherwise processed in accordance with the Privacy Policy and applicable law.
Depending on the context, OneIBP may process personal data for its own operational purposes and may also process personal data in connection with services provided to a subscribing chapter, office, or organization.
9. Communications
By using the Service, you agree that we may send service-related notices, security alerts, administrative messages, transactional messages, and other necessary communications through the app, email, SMS, push notifications, or other contact methods you provide.
Where required by applicable law, we will request consent before sending non-essential promotional or marketing communications.
10. Fees, Billing, and Subscription Terms
Certain features of the Service may require payment under a subscription, service order, quotation, or other commercial arrangement.
Unless otherwise agreed in writing:
- fees are billed to the subscribing chapter, office, or organization in advance for the applicable subscription period;
- fees paid are non-refundable except where required by law or expressly stated otherwise;
- failure to pay may result in suspension or termination of access for the subscribing chapter and its users;
- pricing, scope, and inclusions may differ by plan, chapter, or contract.
Taxes, if applicable, may be charged separately.
11. Third-Party Services
The Service may integrate with or rely on third-party services, such as payment processors, messaging providers, hosting providers, analytics tools, and authentication services. We are not responsible for the availability, performance, content, security, or policies of third-party services.
Your use of third-party services may also be governed by their own terms and policies.
12. Intellectual Property
All rights, title, and interest in and to the Service, including its software, design, text, graphics, logos, interface elements, workflows, and underlying technology, are owned by or licensed to OneIBP and are protected by applicable intellectual property laws.
Subject to these Terms and any applicable subscription arrangement, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.
You may not copy, modify, distribute, sell, sublicense, or create derivative works from the Service except with our prior written consent or as permitted by law.
13. Availability, Maintenance, and Changes
We aim to make the Service available on a reliable basis, but we do not guarantee uninterrupted, error-free, or continuous operation.
We may perform maintenance, updates, bug fixes, upgrades, or emergency actions that may affect availability or functionality. We may also change the design, features, workflows, or technical requirements of the Service from time to time.
14. Disclaimers
The Service is provided on an "as is" and "as available" basis, to the fullest extent permitted by law.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.
Without limiting the foregoing, OneIBP does not warrant that:
- the Service will meet every chapter's requirements;
- the Service will be uninterrupted, timely, secure, or error-free at all times;
- reports, exports, certificates, reminders, or calculations will be accepted as official by any authority;
- use of the Service alone will satisfy legal, regulatory, accreditation, or compliance obligations.
15. Limitation of Liability
To the fullest extent permitted by law, OneIBP and its owners, officers, employees, contractors, affiliates, and representatives shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, business opportunities, or reputation, arising out of or related to the Service.
To the fullest extent permitted by law, our total aggregate liability for claims arising out of or relating to the Service shall not exceed the amount actually paid by the subscribing chapter, office, or organization to us for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is not permitted by law.
16. Indemnity
You agree to defend, indemnify, and hold harmless OneIBP and its owners, officers, employees, contractors, affiliates, and representatives from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:
- your use or misuse of the Service;
- your User Content;
- your violation of these Terms;
- your violation of applicable law or the rights of any person or entity.
17. Suspension and Termination
We may suspend, restrict, or terminate access to the Service, with or without notice, if:
- these Terms are violated;
- use of the Service creates security, legal, technical, or operational risk;
- applicable fees remain unpaid;
- we are required to do so by law or competent authority.
A subscribing chapter may stop using the Service at any time, subject to any applicable commercial arrangement. If the chapter's access ends, member and user access associated with that chapter may also be suspended or terminated.
Upon termination, the right to use the Service ends immediately. We may retain or delete data in accordance with our Privacy Policy, retention practices, and applicable law.
Account Deletion by Members
Members may request deletion of their account at any time through the account settings in the mobile application. Account deletion is subject to a 30-day grace period during which the request may be cancelled.
Upon completion of account deletion:
- your login credentials, contact information, notification preferences, profile photographs, and uploaded personal documents will be permanently deleted;
- financial records (invoices, payments, receipts), compliance records (MCLE credits, continuing education history, legal-aid tracking), certificate issuance history, event attendance records, and audit logs will be retained in anonymized form as required by law, regulation, or legitimate operational and audit obligations;
- after anonymization, these retained records can no longer be linked to you as an identifiable individual.
Deleting your OneIBP account removes your access to the OneIBP platform only. It does not affect your membership status with the Integrated Bar of the Philippines, your standing with any chapter, or any records maintained by official government, court, or bar systems.

18. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the proper courts of the Philippines, unless otherwise agreed in writing.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated version and update the "Last Updated" date. Where required, we will provide additional notice.
Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the updated Terms.
